Welcome to the website of Cinema Napa Valley and the Napa Valley Film Festival (“CNV/NVFF,” “we,” “us,” or “our”). These Terms & Conditions govern your use of napavalleyfilmfest.org and any related pages, content, forms, ticketing, event registration, donation links, or services made available through the website (collectively, the “Site”).

By accessing or using the Site, you agree to these Terms & Conditions. If you do not agree, please do not use the Site.

1. About Cinema Napa Valley and the Napa Valley Film Festival

Cinema Napa Valley is a nonprofit organization supporting film, filmmakers, cultural programming, education, community engagement, and the Napa Valley Film Festival.

The Site provides information about CNV/NVFF programs, events, partnerships, donations, festival activities, and related initiatives.

2. Permitted Use of the Site

You may use this Site for lawful, personal, informational, and non-commercial purposes.

You may not:

  • interfere with the operation or security of the Site;
  • attempt to gain unauthorized access to the Site, accounts, servers, or systems;
  • introduce viruses, malicious software, automated scraping tools, or other harmful technology;
  • impersonate another person or organization;
  • use Site content in a manner that infringes intellectual property, privacy, publicity, or other rights;
  • use the Site for unlawful, abusive, threatening, discriminatory, defamatory, obscene, or fraudulent activity.

We may restrict or terminate access to the Site if we reasonably believe these Terms have been violated.

3. Intellectual Property

Unless otherwise indicated, the Site and its original text, design, graphics, logos, trademarks, photographs, video, audio, and other materials are owned by or licensed to Cinema Napa Valley/Napa Valley Film Festival and are protected by applicable copyright, trademark, and other intellectual-property laws.

You may view and share links to Site content for personal and informational purposes.

You may not reproduce, modify, distribute, sell, license, commercially exploit, or create derivative works from Site materials without permission from the applicable rights holder.

Certain photographs, films, trailers, artwork, logos, music, and other materials may be owned by filmmakers, photographers, sponsors, licensors, venues, artists, or other third parties. Nothing on the Site grants you a license to use those materials.

4. Tickets, Passes and Event Registration

If CNV/NVFF offers tickets, passes, credentials, reservations, or event registrations through the Site, additional event-specific terms may apply.

Unless otherwise stated at the time of purchase:

Ticket and pass purchases are non-refundable.

If you are unable to attend, CNV/NVFF may, at its discretion and where operationally possible, allow a ticket or pass to be reassigned to another person.

Event schedules, speakers, filmmakers, talent, locations, programming, menus, and other event details may change without notice.

CNV/NVFF reserves the right to refuse admission or remove an attendee when reasonably necessary for safety, security, compliance with venue rules, or violation of the Code of Conduct.

5. Donations

Donations made through the Site may be processed by a third-party payment or donation provider.

The third-party provider may have its own terms, privacy policy, fees, security practices, and refund procedures.

CNV/NVFF is not responsible for the independent practices of third-party payment processors.

6. Third-Party Websites and Services

The Site may link to or embed services operated by third parties, including video platforms, social-media services, ticketing providers, donation platforms, analytics services, email marketing providers, venues, sponsors, and partner organizations.

CNV/NVFF does not control those third-party services and is not responsible for their availability, content, security, privacy practices, products, or services.

Your use of third-party services is subject to the terms and policies of those providers.

7. Privacy

Use of the Site may involve the collection of information such as your name, email address, contact information, newsletter preferences, form submissions, transaction-related information, device information, cookies, and website usage information.

Our collection and use of personal information is described in our Privacy Policy, which should be read together with these Terms.

Children under 13 should not submit personal information through the Site without appropriate parental authorization. Federal COPPA rules apply where an operator knowingly collects personal information from children under 13.

8. User Submissions

If you voluntarily submit comments, inquiries, photographs, application materials, proposals, feedback, or other content through the Site, you represent that you have the right to submit that material.

You may not submit material that:

  • infringes another person’s copyright, trademark, privacy, publicity, or other rights;
  • contains unlawful, defamatory, threatening, harassing, discriminatory, obscene, or fraudulent content;
  • contains malicious software or harmful code.

Submission of materials does not guarantee selection, publication, participation, response, or acceptance by CNV/NVFF.

Festival film submissions, applications, competitions, grants, residencies, or other programs may be governed by separate rules presented at the time of submission.

9. Code of Conduct

CNV/NVFF is committed to creating a welcoming environment for filmmakers, artists, guests, staff, volunteers, sponsors, partners, and members of the community.

Harassment, discrimination, intimidation, threats, physical or verbal abuse, stalking, unwanted sexual attention, or targeted conduct based on race, color, ethnicity, national origin, religion, sex, gender, gender identity or expression, sexual orientation, disability, age, or other protected characteristics will not be tolerated.

This policy applies to CNV/NVFF events, venues, programs, online interactions, and official social-media channels.

CNV/NVFF may take appropriate action in response to misconduct, including warnings, removal from an event, revocation of credentials or access, and referral to venue security or law enforcement where appropriate.

For non-emergency police assistance in the City of Napa, contact the Napa Police Department at 707-257-9223. That number is currently listed by the City of Napa as the Police Department’s non-emergency dispatch line.

10. Photography and Event Media

CNV/NVFF events may be photographed, filmed, livestreamed, recorded, or otherwise documented.

By attending an event, you acknowledge that you may appear incidentally in photographs, video, or recordings made in public or event spaces, subject to applicable law and any event-specific notice provided by CNV/NVFF.

Official photography, video, audio, and other event media remain subject to the rights of CNV/NVFF and/or the applicable photographer, filmmaker, producer, artist, or rights holder.

11. Website Availability and Accuracy

We make reasonable efforts to provide accurate and current information, but we do not guarantee that all Site content will always be complete, current, error-free, or continuously available.

Programming, schedules, pricing, participants, venues, dates, and Site content may be modified or corrected without notice.

12. Disclaimer of Warranties

To the extent permitted by law, the Site and its content are provided on an “as is” and “as available” basis.

CNV/NVFF makes no guarantee that the Site will be uninterrupted, error-free, secure, or free of harmful components.

Nothing on the Site constitutes legal, financial, medical, or other professional advice.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Cinema Napa Valley/Napa Valley Film Festival and its directors, officers, employees, volunteers, contractors, agents, partners, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of or inability to use the Site.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless CNV/NVFF and its officers, directors, employees, volunteers, agents, and affiliates from claims, damages, liabilities, costs, or expenses arising from your unlawful use of the Site, your violation of these Terms, or your infringement of another person’s rights.

15. Changes to These Terms

CNV/NVFF may update these Terms from time to time.

The current version will be posted on this page with an updated effective date.

Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

To the extent permitted by law, disputes arising from these Terms or use of the Site will be brought in the appropriate state or federal courts serving Napa County, California.
